Ailo (“Ailo”, “we”, “our”, or “us”) is a wellness product and service owned and operated by Swap Store Inc., a Delaware corporation located at 131 Continental Dr, Suite 305, Newark, DE 19713, USA.
These Terms and Conditions (“Terms”) govern your access to and use of Ailo’s websites, applications, devices, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Acceptance of Terms

By using Ailo, you confirm that you are at least 18 years old or have parental consent to use our services.

2. Services Provided

Ailo offers personalized health tracking and recommendations. We do not provide medical advice, and our services should not replace professional healthcare guidance.

3. User Accounts

  • You must provide accurate and complete information when creating an account.

  • You are responsible for maintaining the confidentiality of your account credentials.

  • We reserve the right to suspend or terminate accounts violating our terms.

4. Payment & Subscription

  • Certain services may require a paid subscription.

  • All payments are processed securely through third-party payment gateways.

  • Subscription fees are non-refundable unless stated otherwise.

4.1. Presales

You may purchase early access to the Ailo app and/or Ailo+ wearable before general availability. You acknowledge that:

  • Presale products are not yet available and timelines may change.

  • We are not liable for reasonable delays due to development, supply chain, regulatory, force majeur or logistics constraints.

  • Refunds: You may request a refund any time before you receive access to the app or the wearable ships/is made available for pickup. After access/shipment, standard refund/warranty terms (if any) will apply. To request a refund before access/shipment, email orders@ailo.life with your order details.

5. Wellness Disclaimer

Ailo provides wellness and informational content only. Ailo is not a medical device or healthcare provider, and the Services do not offer medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare professional with questions about a medical condition, symptoms, or before changing exercise, diet, medications, or routines. In an emergency, call your local emergency number.

  • Ailo's content is for informational purposes only.

  • Consult a healthcare professional before starting any health advice.

  • We are not liable for injuries or health issues resulting from using our services.

6. Acceptable Use

By using Ailo, you agree not to:
(a) misuse, disrupt, or harm the Services;
(b) attempt to reverse engineer or circumvent security;
(c) use the Services for unlawful purposes;
(d) infringe intellectual property or privacy rights;
(e) submit unlawful, harmful, or misleading content;
(f) use our content for commercial purposes without permission.

7. Intellectual Property

All content, designs, software, and trademarks are owned by Swap Store Inc. or its licensors and are protected by law. Except as expressly allowed, you may not copy, modify, distribute, or create derivative works without written permission.

8. Third-party services

The Services may integrate with or link to third-party services (e.g., payment processors, email providers, future integrations). We are not responsible for third-party content, terms, or practices.

9. Disclaimers; no warranties

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties (express or implied), including fitness for a particular purpose, accuracy, non-infringement, and availability.

10. Limitation of liability

To the fullest extent permitted by applicable law, Ailo owned by Swap Store Inc., and all of their respective affiliates, subsidiaries, parent entities, shareholders, directors, officers, employees, agents, contractors, suppliers, licensors, and partners (collectively, the “Parties”) shall not be liable for:

  • any indirect, incidental, consequential, special, exemplary, or punitive damages;

  • any loss of profits, revenue, data, goodwill, business interruption, or other intangible losses; or

  • any health-related outcomes, injuries, or damages alleged to arise from your use of, or reliance on, Ailo’s wellness insights, recommendations, or products.

This limitation applies whether the claim is based on contract, tort (including negligence), strict liability, or any other legal theory, even if the Parties were advised of the possibility of such damages.

Without limiting the foregoing, the total cumulative liability of the Parties for all claims arising out of or related to your use of the Services shall not exceed the total amount you paid to Ailo for the applicable product or service in the six (6) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this clause may not apply to you. In those cases, Ailo’s liability will be limited to the maximum extent permitted by law.

11. Indemnity

You agree to indemnify, defend, and hold harmless Swap Store Inc. and the Parties from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees and costs) that arise from or relate to:

  • your access to or use of the Services;

  • your violation of these Terms or of any applicable law or regulation;

  • any content or data you submit, post, or transmit through the Services;

  • your negligence, misconduct, or breach of warranties; or

  • your violation of any third-party rights, including intellectual property, privacy, or publicity rights.

Ailo reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with Ailo’s defense of such claims.

This indemnity obligation will survive the termination or expiration of these Terms and your use of the Services.

12. Modifications to Terms

We may modify the Services or these Terms. If changes are material, we’ll notify you by email or on the site. Your continued use after changes means you accept them.

13. Termination of Services

We reserve the right to suspend or terminate access to Ailo if users violate these Terms.

14. Governing law

These Terms are governed by the laws of the State of Delaware. The state and federal courts located in New Castle County, Delaware shall have exclusive jurisdiction, and you consent to their personal jurisdiction.
